Terms of use

The agreement between you and us for the website and the Continuumship service.

In short

  • These terms are the agreement between your organisation and Continuumship for the website and the service.
  • Your content stays yours. We use it only to provide the service, under the data processing addendum.
  • You are responsible for what your people and your agents do in your workspace, and for the runners and credentials you connect.
  • Paid plans renew until you cancel; a cancellation takes effect at the end of the paid period.
  • Our liability is limited to what you paid in the twelve months before a claim, except where the law does not allow a limit.

The agreement

These terms of use (the “Terms”) are an agreement between Continuumship (“we”, “us”) and the organisation that uses Continuumship (“you”, the “Customer”).

By creating an account, creating or joining a workspace, or using the service, you accept the Terms. If you accept them for an organisation, you confirm that you are authorised to bind it. If you and we have signed an order form or a separate agreement, it prevails over these Terms where they differ.

The acceptable use policy, the data processing addendum and the plan you chose on the pricing page form part of the Terms.

Definitions

  • Service — the Continuumship software as a service: the application, its APIs, the runner software we provide, and their documentation.
  • Workspace — the separate space in which a Customer’s work, people and settings live.
  • User — a person the Customer allows to use its workspace.
  • Agent — software, including an AI model, that acts in the Service on the Customer’s behalf.
  • Runner — software that executes runs on machines the Customer operates or chooses.
  • Customer Content — everything the Customer, its Users and its Agents put into the Service or bring into it from connected tools.

Using the website

You may read and share the website for your own information. Its text, design, product images and marks belong to us or our licensors; do not copy them for another purpose without our permission. The website describes the Service in general terms; what a given plan includes is set out on the pricing page and in your order. Links to other websites are for convenience, and we are not responsible for their content.

Accounts and workspaces

The Service is for businesses and professionals. Users must be at least 18 years old and give accurate information. You are responsible for your Users, for keeping sign-in credentials, API tokens and runner keys confidential, and for everything done with them. Tell us at once at hello@continuumship.com if you suspect unauthorised access.

The administrators of a workspace control who may join it, what they may do, and how long its records are kept. When your organisation uses single sign-on or SCIM, your identity provider decides who is in.

The service

We provide the Service with reasonable skill and care, in line with the description of your plan. We improve it continuously and may change how features work; we will not reduce the core functionality of a paid plan during the period you have paid for.

We aim to keep the Service available at all times, except for maintenance, which we schedule to limit disruption. An availability commitment with service credits applies only where your order form contains one.

Your content

You keep all rights to Customer Content. You give us the right to host, copy, process and display it only as needed to provide, secure and support the Service for you, and as you instruct through the Service. We process personal data in Customer Content as your processor, under the data processing addendum.

We do not use Customer Content to train any AI model, and we do not sell it. We may use information about how the Service is used that identifies neither you nor any person, to operate and improve it.

You are responsible for having the rights and the legal basis to put Customer Content into the Service, including the personal data of the people in the tools you connect.

Agents, runners and connected tools

The Service lets your people and your Agents propose, review, approve and carry out changes to your software. You decide which Agents, models, runners and tools take part, and what each may do; the Service records and enforces the rules you set.

  • You are responsible for the actions of your Agents in the Service as if they were your Users’.
  • Runs execute on runners you operate or choose, with credentials you provide. You are responsible for those machines, credentials and model accounts, and for the terms of their providers.
  • The output of an AI model can be wrong. You remain responsible for reviewing it and for the software you release, whatever the Service recorded or approved.
  • Tools you connect — code hosts, trackers, chat, identity providers — are governed by their own terms. We are not responsible for them or for their availability.

Acceptable use

You must use the Service in line with the law and the acceptable use policy. You must not resell the Service, use it to build a competing product, or reverse engineer it, except as the law expressly allows.

Plans, fees and payment

The plans and their prices are on the pricing page or in your order form. Fees are charged in advance for each monthly or annual period through our payment provider, Stripe, and exclude taxes, which are added where the law requires.

Paid plans renew automatically for the same period until you cancel. If a payment fails, the plan stays in place for 14 days while it is retried; after that we may move the workspace to a plan without fees or suspend paid features until payment is made.

Fees are not refundable, except where the law requires a refund or where we end a paid plan without cause, in which case we refund the unused part. We tell you about a change of price at least 30 days before it applies to your next period.

A plan without fees is provided as it is, may be limited, and may be changed or ended with 30 days’ notice.

Our intellectual property

The Service, its software, design and documentation belong to us and our licensors. We give you a non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription. If you send us suggestions, we may use them without obligation to you.

Confidentiality

Each party keeps the other’s non-public information confidential, uses it only for this agreement, and shares it only with people who need it and are bound by the same duty. This does not apply to information that is public through no fault of the receiving party, was already known to it, or must be disclosed by law — in which case the party tells the other first where the law allows.

Suspension

We may suspend access to the Service, in whole or for a User, an Agent or a runner, if it is needed to prevent a serious risk to the Service, to other customers or to anyone else, if the acceptable use policy is breached, or if fees remain unpaid after the period above. We limit a suspension to what is needed, tell you why, and lift it once the reason is gone.

Term and termination

The agreement runs while you use the Service. You can cancel a paid plan at any time; it ends at the close of the period you have paid for. Either party may end the agreement if the other materially breaches it and does not remedy the breach within 30 days of being told.

After the end, you have 30 days to export Customer Content. We then delete it, as the data processing addendum describes, except what the law requires us to keep. Sections that by their nature should survive — on content, confidentiality, liability and the law that applies — survive.

Warranties

Each party confirms it has the right to enter into this agreement. Beyond what these Terms say, the Service is provided “as is” and “as available”, and we give no other warranty, express or implied — including of merchantability, fitness for a particular purpose or uninterrupted operation — to the extent the law allows.

Limitation of liability

Neither party is liable for loss of profit, revenue, business or goodwill, or for indirect or consequential damage. Each party’s total liability arising from this agreement in any twelve months is limited to the fees you paid for the Service in the twelve months before the event that caused it, or 100 US dollars if you paid none.

These limits do not apply to liability that cannot be limited by law — including for intent and gross negligence, as Article 115 of the Turkish Code of Obligations provides — to your payment obligations, or to breaches of the acceptable use policy.

Indemnity

You will defend us against third-party claims arising from Customer Content or from the use of the Service in breach of these Terms, and pay the amounts finally awarded. We will defend you against third-party claims that the Service, used as these Terms allow, infringes their intellectual property rights, and pay the amounts finally awarded. The party asking for defence tells the other promptly and lets it control the defence.

Governing law and disputes

These Terms are governed by the laws of the Republic of Türkiye, without regard to its conflict-of-law rules. The courts and enforcement offices of İstanbul (Çağlayan) have exclusive jurisdiction, unless the law gives a party a non-waivable right to another forum. Before going to court, the parties try in good faith to settle a dispute by talking to each other.

Changes to these Terms

We may change these Terms. We tell workspace owners about a material change at least 30 days before it takes effect, by email or in the product. If you do not agree, you can cancel before the change applies; using the Service after it applies means you accept it.

General

Neither party is responsible for a delay caused by events beyond its reasonable control. Neither party may transfer this agreement without the other’s consent, except to a successor of its business. If a provision is invalid, the rest stays in force. A failure to enforce a right is not a waiver of it. These Terms, with the documents they name, are the whole agreement on their subject.

Notices to us go to hello@continuumship.com; notices to you go to the workspace owner’s email address. These Terms are published in English and Turkish; if the versions differ, the English version prevails, except where the law requires the Turkish one.
